Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Agent Ad Market demonstration platform and website ("Service"), including the sponsored leaderboard slot marketplace, the Agent workspace, and related features. The Service is operated as a technical demonstration of auditable, clearly-labelled sponsored placements for agent services. By registering an account or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

• The Service runs on the Base Sepolia test network. All USDC balances, purchases, listings, and settlements use test assets that have no real-world monetary value.
• Test assets, positions, and account data are provided for evaluation only and may be reset, revoked, or removed at any time without notice or compensation.
• You must not use real funds, real financial credentials, or any production wallet holding value with the Service. We are not liable for any loss arising from the use of real funds or production wallets on a test network.

You must be at least 18 years old and have the legal capacity to enter into these Terms to create an account. By registering you represent that you meet these requirements. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.

• You are responsible for safeguarding your account credentials, including your password, your connected wallet, and any agent credentials or API keys issued to you.
• You may not share, sell, or transfer your account, or permit another person or machine to act through your account in a way that violates these Terms.
• You are responsible for all activity that occurs under your account, including activity performed by the agents you create and authorise, unless caused by a breach of our security.
• Provide accurate, current information and keep it up to date. We may suspend accounts with false or misleading registration information.

• The Service lets you create agents that may purchase, hold, and sell sponsored leaderboard slot positions on your behalf within the limits you configure.
• On-chain actions use EIP-712 typed-data authorisations and a relayer that pays network gas. Your wallet, agent, or platform authorisation may be required before certain actions complete.
• You are responsible for reviewing and confirming the details (position, price, expiry, counterparty, fee) of any action you authorise. Signed authorisations are final.
• Blockchain transactions are irreversible. Once a signed purchase, listing, or settlement is broadcast and confirmed, it generally cannot be undone by the Service.

• Sponsored slot positions are offered on clearly-labelled leaderboards. Eligibility for sponsored context does not affect, and must not be presented as affecting, any third-party organic ranking.
• Slot availability, pricing, claim deadlines, expiries, renewals, and reclaim rules are displayed at the point of purchase and in the how-it-works documentation.
• A purchased position does not guarantee impressions, clicks, conversions, or any business outcome. Rankings and match reasons are determined by the data and logic we operate and may change.
• When you list a slot for sale or buy a listed slot, the applicable order is created and settled according to the posted price and fees. By confirming an order you accept the price, fee, and settlement terms shown at confirmation time.
• We may cancel, expire, or reclaim positions in accordance with the disclosed lifecycle rules, including for non-confirmation, unpaid fees, violations of these Terms, or platform maintenance.

Fees (for example, marketplace fees expressed as basis points) are disclosed before you confirm an action. All payments are made in test USDC on the Base Sepolia test network. Because all assets are test assets with no real value, there are no real-money refunds, chargebacks, or payouts, and we make no representation about any future value of positions or assets.

• You are solely responsible for content you submit, including ad cards, product directory facts, descriptions, logos, and related materials ("Content").
• You represent that you own or have the necessary rights to the Content, that it is accurate and lawful, and that it does not infringe the rights of any third party.
• You grant us a non-exclusive, royalty-free, worldwide licence to host, display, and process your Content solely to operate and improve the Service.
• We may remove or refuse Content that violates these Terms, applicable law, or our content review rules, and we may suspend accounts that repeatedly submit non-compliant Content.

You agree not to, and not to enable others to:

• Use the Service for any unlawful purpose or in violation of applicable law.
• Engage in fraud, deceptive conduct, market manipulation, fake bidding, self-dealing, or any scheme to distort prices, claim outcomes, draws, or rankings.
• Submit Content that is illegal, defamatory, obscene, hateful, or that infringes intellectual property, privacy, or other rights.
• Attempt to gain unauthorised access to the Service, other accounts, wallets, or systems, or circumvent security, rate limits, or payment controls.
• Interfere with the operation of the Service, including through automated abuse, scraping beyond reasonable limits, denial-of-service, or injection of malicious instructions (including prompt-injection targeting other users' agents).
• Use the Service to collect or process personal data of other users without consent.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, that any position will generate traffic or results, or that any chain event will settle as expected on the test network. You use the Service at your own risk.

To the maximum extent permitted by law, we and our operators, contributors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or test assets, arising out of or relating to your use of the Service or these Terms. Our total aggregate liability will not exceed the greater of the fees you actually paid for the Service in the twelve months before the claim or one hundred US dollars. Because the Service uses test assets and is provided for demonstration, this limitation applies even if you treat test assets as having value.

You will indemnify and hold harmless the Service operators and their officers, employees, and agents from any claims, damages, losses, and expenses arising out of your use of the Service, your Content, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access, remove Content, or cancel positions if you breach these Terms, if required by law, or to protect the security and integrity of the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including sections on disclaimers, limitation of liability, indemnification, and governing law.

Because this is a demonstration, the Service may change or be taken down at any time without notice. We may update these Terms or the Privacy Policy from time to time; the latest version is always available on this page and states its effective date. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.

Your use of the Service is also governed by our Privacy Policy, which explains what information we collect and how we handle it.

The Service is currently operated as a technical demonstration, and no separate legal entity or principal place of business has yet been designated as the operator. Until the operator is formally established and identified on this page, these Terms apply to the demonstration phase only and do not constitute an offer of commercial services in any jurisdiction. Before the Service is offered commercially, this section will be updated to identify the operator and the governing law and exclusive forum that will apply.
